Confirmation of no-stop or forfeiture of a bearer security

If you are a holder of bearer shares or units cancelled in accordance with the law of 28 July 2014 regarding immobilisation of bearer shares and units, you will need a confirmation of no-stop and non-forfeiture of the bearer security which is requested by the Caisse de Consignation.

Contact the Caisse de Consignation

Before returning cash amounts corresponding to the value of a cancelled security, the Caisse de Consignation must receive confirmation that the shares presented for reimbursement are not subject to stops or forfeiture. This means that the holder of the cancelled bearer security must contact the Caisse de Consignation to receive the depositary number.

Request a confirmation of no-stop and non-forfeiture

Once the depositary number has been provided by the Caisse de Consignation to the holder of the bearer security, the holder may request a confirmation of no-stop or non-forfeiture from the Organisme de centralisation. This request must be sent to the Organisme de centralisation via the form below and must be sent by mail or email.

The following parties can give a confirmation of 'no stop' and 'non forfeiture':

  • the issuer of the security
  • the institution acting as the financial agent of the security in Luxembourg (e.g. a custodian bank)
  • Organisme de Centralisation (Luxembourg Stock Exchange)
Confirmations will be issued by the Organisme de Centralisation according to the information available at the date of the confirmation.
Confirmation of 'no-stop' and 'non-forfeiture'

Sending a confirmation

Once the relevant payment has been made by the holder of the bearer security, an official confirmation will be issued and sent directly to the Caisse de Consignation. Please consult the below table for relevant fees.

Fees:

  • Fees are payable in advance with invoice sent to the claimant
  • Flat rate of EUR 550 per ISIN + EUR 110 per security (excluding VAT)

Once confirmation is delivered

Once the claimant’s file is complete, the Caisse de Consignation will reimburse the holder of the bearer securities.

The Luxembourg Stock Exchange will not be involved in any manner in the process of reimbursement.

The delivery of the confirmation by the Organisme de Centralisation does not constitute and shall not be construed as any warranty, commitment or representation from the Organisme de Centralisation that the funds held by the Caisse de Consignation will be finally paid to the claimant.
