The Luxembourg Stock Exchange offers issuers of transferable securities a service on this website enabling them to put their information on line and disseminate it in the form of notices or press releases aimed at media specialising in financial information. The news service of the Luxembourg Stock Exchange is also available to investment funds, listed or not, wishing to publish and disseminate such information. Issuers and their advisers or agents can use this tool to fulfill their legal obligation to publish statutory information under the Law of 11th January 2008 on transparency obligations.
Regulated information
Thus the questions and answers document of the CSSF on the law on transparency obligations says, in response to question 10 on dissemination obligations, that “without prejudice to the requirements relating to the provision of inside information on the issuer’s website, the CSSF considers that an issuer fulfills its obligations with regard to effective dissemination if it transmits the statutory information either itself or through a specialist company  | to one or more press agencies specialising in financial information and/or one or more wide circulation newspapers enabling the investors concerned to be reached; and | | | | to the regulated market or markets in which the transferable securities of the issuer concerned are listed for trading. | In the light of the above, a regulated market operator who distributes the statutory information it receives to press agencies and/or newspapers, as stated in the first indented paragraph above, can therefore be considered to be a specialist company”.
Other information
As a regulated market operator approved in Luxembourg, the Luxembourg Stock Exchange also offers this on-line and distribution service for information which does not fall within the category of statutory information as defined in Article 1, point 10), of the law on transparency obligations. Point 3 of CSSF circular 08/337 contains an accurate list of the various items of statutory information in question.
Procedures for distributing and putting on line a notice or press release
Please download one of the two forms relating to an order for such publication depending on whether or not the notice or press release to be published contains statutory information. Please complete all the information required accurately and sign the document. Do not forget to attach the text of the notice or press release to be published to this document in pdf format. |
